Procedure of Setting Up a Free Zone Company in Ajman

Step 1: Select the type of Legal Entity

Select the type of legal entity: 

i.Free Zone Limited Liability Company (FZ LLC), or a Free Zone Company (FZ Co.).

ii. Free Zone Establishment (FZE)

iii. Branch or Subsidiary of a foreign or local Company 

Step 2:

Choose a name for the company. 

While you fill up the application form of both the Pre-approval form to start your business and also the form to register your company, you have to write up the proposed company name.

In Ajman, in the company registration form, you will have to provide 3 proposed names on a preferential basis.

You can follow the UAQ Free Trade Zone Company Regulation to see the prohibitions on names.

Step 3: Set your business activity

Ajman Free Zone:

Here, you have the option to do business in the healthcare sector, retail sector, education sector, advance technology sector as well as food & beverage sector.

Ajman Media City Free Zone:

You can carry out businesses of manufacturing and the processing of raw goods, import & export, photography, web design, broader digital media services and other activities relating to film, production or post-production, music and entertainment, publishing, broad cast management, consultancy and event management.

Step 4: Apply for a business license

There are mainly four types of licenses in the UAE free zones: - Trading License - Service License - Industrial License - General Trading License

6: Apply for initial approval You are required to provide the following documents:

  • Completed application form
  • Business plan
  • Copy of existing trade licence/registration certificate (it is for an existing company and applicable for local company only)
  • Colour passport copies of the company's shareholder(s) and the appointed Manager/Director for the new company
  • Specimen signature of the company's shareholder(s) and the appointed Manager/Director for the new company
  • 2 years' audited financial reports for corporate entity or certificate of reference from a personal bank of the individual shareholder

Step 7: Company registration

Once you get the initial approval, you need to register your company. Registration requires to pay and submit the following documents:

  • Completed application for registration
  • Board Resolution appointing Manager and Director (Notarized and attested)
  • Power of Attorney given to Manager and Director (Notarized and attested)
  • Memorandum and Articles of Association (Notarized and attested)  Specimen signature of Manager and Director (Notarized and attested)
  • Passport-size photo with white background of Manager and Director
  • Share capital information (it depends on the business type and authority governing the free zone)

Step 8: Get your Business License

After the successful registration of your company, you will get the license.

- Memorandum of Association, Articles of Association and Certificate of Incorporation

- Application form

- Ultimate Beneficial Owner Declaration

- Passport Copy of Manager

- Passport size photograph of the Manager

- Proof of Address of Manager

- Memorandum of Association and Articles of Association - Certificate of Incorporation

- Board Resolution & Power of Attorney

- License (if applicable)

- The branch documents should be Legalized & Attested by UAE Embassy or Consulate where parent company exist.
